Terms of Service

These Terms of Service ("Terms") govern your use of the Tradeswright application and website (the "Service"), provided by Sterling Poggemoeller ("Tradeswright", "we", "us"). By creating an account or using the Service, you agree to these Terms.
1. The Service
Tradeswright is software for trade businesses to manage customers, scheduling, invoicing, payments, and customer messaging (SMS/email).
2. Accounts & eligibility
You must be 18+ and able to form a binding contract. You are responsible for your credentials and all activity under your account, and for keeping your information accurate.
3. Subscriptions, billing & trial
- The Service is offered on subscription, billed through Stripe.
- A free trial may be offered; after it, a paid subscription is required for paid features.
- Subscriptions renew automatically until cancelled. You may cancel anytime; access continues through the current billing period.
- Except where required by law, fees are non-refundable. We may change pricing with prior notice.
4. Messaging & customer consent
The Service lets you send SMS and email to your customers. You are solely responsible for obtaining and maintaining proper opt-in consent from each recipient before messaging them, honoring opt-outs (STOP), and complying with the TCPA, CTIA guidelines, A2P 10DLC requirements, and all applicable laws. You represent that you have the necessary consent for every number you add. We may suspend messaging that appears to violate these Terms or carrier rules.
5. Acceptable use
You will not send unlawful, harassing, or unsolicited messages; infringe others' rights; attempt to breach security or access others' data; reverse engineer or resell the Service; or use it for any illegal purpose.
6. Your data & ownership
As between you and us, you own the customer and business data you put into the Service ("Your Data") and grant us a limited license to host and process it solely to provide the Service. We process End Customer data as your service provider per our Privacy Policy. We may use aggregated, de-identified data to operate and improve the Service.
7. Third-party services
The Service relies on third parties (e.g., Supabase, Twilio, Stripe, hosting, and AI providers). Their availability and terms are outside our control; your use of payment and messaging features is also subject to those providers' terms.
8. Intellectual property
Tradeswright and its software, design, and content are owned by us and our licensors. These Terms grant a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We do not warrant uninterrupted or error-free operation or guaranteed message delivery, which depends on carriers and third parties.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Tradeswright WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You will indemnify and hold harmless Tradeswright from claims arising out of Your Data, your messages, your violation of these Terms, or your violation of any law or third-party right (including messaging-consent claims).
12. Termination
You may cancel anytime. We may suspend or terminate access for violation of these Terms or non-payment. On termination, your right to use the Service ends; we will make Your Data available for export for a reasonable period, then delete it per our retention practices.
13. Governing law
These Terms are governed by the laws of Texas, without regard to conflict-of-laws rules. Disputes will be resolved in the courts located in Texas.
14. Changes
We may update these Terms and will post the new effective date; for material changes we provide additional notice. Continued use means acceptance.
